Terms and Conditions of Use

These Terms define the conditions for accessing and using the services of the Hiiba mobile application (the “App”). Use of the App’s services, including the creation of a personal account, constitutes acceptance of these Terms.

These Terms constitute the entire agreement between you and Hiiba LLC regarding your use of the Services and the App (as defined below).

The App is a community platform designed to facilitate peer-to-peer exchange and reuse of second-hand items and to support waste reduction and the circular economy.

Important: Hiiba provides a platform for listing items, connecting users, and facilitating communication. Hiiba is not a party to any transaction or exchange between users and does not own, inspect, guarantee, or deliver items unless explicitly stated otherwise.

Specific vocabulary

  • User / Member: A natural person who accesses the App via a personal account. The User may be an individual or a partner (e.g., an organization) when the App allows partner features.
  • Account: A set of data associated with a User during registration and subsequent use of the App.
  • App: The Hiiba platform enabling Users to list items, browse items, communicate, and perform actions that may be eligible for rewards.
  • Login Credentials: The User’s email address (or other identifier accepted by the App) and the password chosen during registration.
  • Listing: Content published by a User describing an item offered for giveaway, exchange, adoption, or other permitted reuse.
  • Exchange: Any peer-to-peer interaction that may include giveaway, swap, handover, or other transfer of possession of a used item between Users.
  • Eco Reward tokens (ERW): A reward unit that may be granted by Hiiba according to rules described in the App.

Use of Hiiba

The App’s primary purpose is to enable Users to:

To register, a User must create a personal Account through the App and accept these Terms during registration. Acceptance is effective when the User clicks the registration/acceptance button.

You represent that the information provided during registration is accurate and complete and you undertake to notify Hiiba of any subsequent changes.

Access to the App’s Services is strictly subject to acceptance and compliance with these Terms.

  • publish and consult Listings for second-hand items;
  • communicate with other Users to arrange an Exchange;
  • optionally participate in challenges, missions, or other activities offered in the App;
  • receive rewards (including ERW) where applicable under the rules displayed in the App.

Article 1 — Services

  1. Core services. The App enables Users to:
  2. create and manage an Account;
  3. create Listings and browse Listings;
  4. contact other Users and arrange an Exchange;
  5. use reporting tools and safety features made available in the App.
  6. Evolution of services. Hiiba may modify the form and nature of the Services to improve the App, including adding, removing, or changing features.

Article 2 — User rights and personal data

  1. Use of information for service delivery. The User acknowledges Hiiba’s right to process and display certain User information strictly for the purpose of providing the Services (and for no other purpose unless required by law or with the User’s consent).
  2. Account management. The User may update certain personal data in their personal space at any time.
  3. Retention. User data is retained while the Account is active. Upon a valid account deletion request, Hiiba will delete or anonymize data in accordance with applicable law and legitimate retention obligations.

Article 3 — User responsibilities

  1. Account security. The User is solely responsible for all activity performed through their Account and for maintaining the confidentiality of their password. The User must notify Hiiba promptly of any unauthorized use or security breach.
  2. Minimum age and legal capacity. The User declares that they are at least 16 years old and have legal capacity (or parental authorization where required) to register and use the App.
  3. User content and conduct. The User is solely responsible for:
  4. all content they publish (Listings, messages, images, comments);
  5. their interactions with other Users;
  6. their actions on and off the App.
  7. Prohibited content and behavior. The User must not publish or engage in content or conduct that, including but not limited to:
  8. infringes intellectual property rights;
  9. is illegal, hateful, threatening, pornographic, defamatory, obscene, racist, antisemitic, xenophobic, or contrary to public order or morals;
  10. violates privacy or human dignity;
  11. incites violence, hatred, discrimination, or self-harm;
  12. harasses other Users;
  13. encourages criminal activity;
  14. solicits passwords or personal data for commercial or illegal purposes;
  15. sends spam, unsolicited advertising, or mass messaging;
  16. includes malicious code (malware, trojans, viruses) or interferes with the App;
  17. impersonates another person or misrepresents identity.
  18. No automated misuse. The User agrees not to use automated systems (bots, scripts, scraping) to access the App, create Accounts, send messages, or interact with the Services.
  19. Cooperation with authorities. Where required by law or valid authority requests, Hiiba may provide information enabling identification of a User who violates the law or these Terms.

Article 3a— Specific rules for peer-to-peer exchange of used items

  1. User-to-user relationship. Exchanges are arranged directly between Users. Hiiba does not verify the identity, reliability, or conduct of Users unless specific verification features are offered in the App.
  2. Condition, safety, and compliance. Users must ensure that:
  3. items listed are accurately described (condition, defects, missing parts);
  4. items are safe and lawful to exchange;
  5. items comply with applicable laws and regulations in the UAE.
  6. Prohibited items. Users must not list or exchange items that are illegal, dangerous, or restricted, including (non-exhaustive): weapons, controlled substances, counterfeit goods, stolen goods, hazardous materials, and any items prohibited by applicable law or by Hiiba’s in-app rules.
  7. Meetups and handovers. Users are responsible for arranging safe meeting locations and times. Hiiba recommends meeting in public places and exercising caution. Hiiba is not responsible for incidents occurring during or after an Exchange.
  8. Disputes. Any dispute relating to an Exchange (item condition, non-delivery, misrepresentation, etc.) is between the Users. Hiiba may provide reporting tools and may take moderation actions (including account suspension) but does not guarantee resolution.
  9. No warranty. Items are exchanged “as is” between Users unless the Users agree otherwise. Hiiba provides no warranty regarding items.

Article 3b— Location features (optional)

Controls. You can enable or disable location permissions at any time in your device settings. Some features may be disabled.

  1. Optional location sharing. The App may offer features that use your device’s precise location (GPS) to improve the experience (for example, showing items near you or helping you set a meeting point).

Article 3c— In-app chat, reporting, and moderation

  1. Chat between Users. The App may allow Users to communicate via in-app messaging and to share content (including text and images) to arrange Exchanges.
  2. Reporting. Users may report content or conduct they believe violates these Terms or applicable law.
  3. Moderation actions. Hiiba may (but is not obliged to) review reported content and take appropriate actions, including removing or restricting access to content, limiting messaging features, or suspending/terminating Accounts, where Hiiba believes there is a violation of these Terms or a risk to Users or the platform.

Article 4 — Intellectual property

  1. The design, title, trademarks, and all elements of the App and any associated websites or social media channels are the exclusive property of Hiiba and/or its licensors.
  2. Any reproduction, representation, or distribution of all or part of the App or its content without prior written authorization is prohibited.
  3. Hiiba respects intellectual property rights. A rights holder may report an infringement, and Hiiba may remove content or suspend accounts after review.

Article 5 — Account creation, termination, and cancellation

Where possible, Hiiba will provide reasonable notice.

  • The Services are provided immediately upon registration.
  • The User may request account deletion by using the in-app feature (if available) or by contacting Hiiba at the contact address indicated in the App.
  • Hiiba may suspend or terminate an Account if:
  • the User violates these Terms;
  • Hiiba is required to do so by law;
  • Hiiba discontinues the Services in the User’s country;
  • the Services are no longer commercially viable.

Article 6 — Rewards

  1. The User may receive rewards for certain actions as defined in the App.
  2. Hiiba may modify reward rules at any time to maintain consistency with the App’s evolution.
  3. In the absence of evidence to the contrary, Hiiba’s logs and records may be used as proof of actions and rewards.

Article 7 — Eco Reward tokens (ERW)

  1. Hiiba may attribute ERW to Users for eligible actions.
  2. ERW rules, utility, transferability (if any), and any limitations are defined in the App and/or supporting documentation.
  3. ERW are not shares, securities, or equity in any entity and do not grant shareholder rights.
  4. Hiiba may correct token attribution in the event of error or fraud and may suspend accounts where fraud is established.

Article 8 — Hiiba liability

  1. Hiiba is a platform provider. Hiiba is not responsible for:
  2. User-generated content;
  3. interactions between Users;
  4. the quality, safety, legality, or condition of items;
  5. incidents occurring during or after an Exchange.
  6. Reporting. The App may include a “report” feature to flag content or behavior. Hiiba may remove or block content that appears manifestly unlawful or upon request from a legitimate authority.
  7. Technical limitations. Hiiba is not liable for technical issues outside its control (network outages, third-party services, device incompatibilities).
  8. Limitation of liability. To the maximum extent permitted by applicable law, Hiiba and its officers, employees, and representatives will not be liable for indirect damages, loss of data, loss of profit, loss of opportunity, reputational harm, or third-party claims arising from use of the App.

Article 9 — End of relationship

These Terms remain applicable until terminated by the User or by Hiiba. The User may terminate by closing their Account. Hiiba may terminate as described in Article 5\.

  • with service providers (hosting, analytics, customer support tools) acting on our instructions;
  • with authorities where required by law or to protect Users and the platform.

Article 11 — Applicable law and general provisions

  1. These Terms replace any prior agreements relating to the App.
  2. Governing law and jurisdiction: These Terms should be adapted to reflect Hiiba’s legal entity and the applicable law/jurisdiction for the UAE. If not specified, the governing law and competent courts will be those required by applicable mandatory rules.
  3. If any provision is held invalid, the remaining provisions remain in force.

  • Payments: Hiiba does not process in-app payments in the first release. If/when subscriptions or token purchases are introduced, these Terms should be updated to include payment terms, billing, refunds, and the applicable payment provider rules.
